1.1 In this Agreement, unless the context otherwise requires, the following expressions shall have the following meanings:
1.2 Headings are for convenience only and shall not affect interpretation.
2.1 This Agreement shall come into force when the Client accepts the Company’s quotation in writing or by instructing the Company to proceed.
2.2 These Terms shall govern all contracts for Services between the Company and the Client to the exclusion of any other terms the Client may seek to impose.
The Company shall provide the Services specified in the accepted quotation with reasonable skill, care and diligence consistent with best industry practice.
4.1 The Company will schedule appointments within morning or afternoon time slots; times are approximate and may vary due to factors beyond the Company’s control.
4.2 The Company will notify the Client when the operatives are en route if requested.
5.1 The Company will only undertake Services in areas it reasonably considers safe.
5.2 The Company reserves the right to refuse or suspend work where access poses a risk to health or safety, including but not limited to unsafe ladders, roofs, or hazardous environments.
5.3 The Client must ensure safe, unobstructed access and remove any obstacles or hazards prior to the appointment.
6.1 All prices are exclusive of VAT unless otherwise stated. VAT will be added at the prevailing rate.
6.2 Payment is due upon completion of the Services and no later than seven (7) calendar days from the date of the invoice.
6.3 Payment methods accepted include bank transfer, debit/credit card, and contactless payments. Cash payments are not accepted unless agreed in writing in advance.
6.4 Title to any materials supplied remains with Invitari Ltd until payment is received in full.
7.1 The Client must provide at least 24 hours’ written notice to cancel or reschedule appointments.
7.2 Failure to provide adequate notice or missed access without good reason will result in invoicing for the full quoted amount.
7.3 For projects valued over £1,000, cancellation within seven (7) days of the appointment may incur full charges.
8.1 Any additional work beyond the scope of the original quotation will require prior written consent from the Client.
8.2 The Company shall provide a quotation for such additional works before commencement.
8.3 Material costs may fluctuate due to market conditions and availability; labour costs for quoted works remain fixed unless additional labour is required for extra work.
9.1 Minor gutter repairs are guaranteed for twelve (12) months from the invoice date.
9.2 Partial installations on existing materials carry a twelve (12) month guarantee.
9.3 Full new installations are guaranteed for five (5) years, provided the Client maintains the installations properly and produces documented evidence on request.
9.4 Guarantees exclude damage resulting from poor maintenance, misuse, or third-party interference.
10.1 The Client shall inspect completed works before the operatives depart.
10.2 Any concerns or defects must be reported on the same day to enable prompt resolution.
10.3 Complaints made after this time may be subject to re-clean or repair charges.
11.1 The Company maintains appropriate public liability insurance.
11.2 All operatives are DBS-checked, wear uniforms, and operate GPS/dashcam tracking where applicable.
11.3 The Company undertakes to perform Services diligently and carefully. In the event of errors or omissions, the Client must notify the Company immediately for swift remedial action.
12.1 Photographs taken to evidence service delivery remain the Company’s property and shall not be shared without Client consent unless required by law.
13.1 The Company’s liability is limited to the contract price paid for the affected Services, except for death or personal injury caused by the Company’s negligence or fraud.
13.2 The Company shall not be liable for indirect or consequential losses.
The Company shall not be liable for failure or delay caused by events beyond its reasonable control.
The Company may update these Terms from time to time; the version applicable to the Contract shall be the one in effect at the time the quotation was accepted.
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.
This Agreement constitutes the entire understanding between the parties relating to its subject matter and supersedes all prior agreements.
